The plaintiff said that following a demand from last September Home Depot, Inc produced over 500 pages of documents that where incomplete, inconsistent, duplicative and inappropriately redacts information necessary and essential to plaintiff's stated purpose. After another failed attempt to review the documents from Home Depot the plaintiff filed the lawsuit and the plaintiff now seeks to inspect certain records from The Home Depot, Inc to determine whether its management breached its fiduciary duties by failing to adequately secure payment information on its data systems, leading to the exposure of up to 56 million customers' payment card information.

On September 2, 2014, an independent security expert disclosed on his online blog that The Home Depot, Inc.'s payment data systems may have been breached because multiple banks were seeing evidence that "a massive new batch of stolen credit and debit cards" went on sale that were linked to The Home Depot, Inc. stores.

On September 8, 2014, The Home Depot, Inc. confirmed that its payment data systems have been breached, which could potentially impact customers using payment cards at its U.S. and Canadian stores Shares of The Home Depot, Inc. (NYSE:HD) declined from $93.50 per share in late August 2014 to as low as $88.33 per share on September 10, 2014.

The plaintiff alleges that there is a credible basis to believe that officers and directors of Home Depot, Inc were aware of the risks that Home Depot, Inc faced from a cyberattack but in breach of their fiduciary duties the board has failed in its responsibilities to implement systems and internal controls to properly protect the company from this threat.

The Home Depot, Inc is facing over 50 civil actions in American and Canadian courts arising from the data breach, and a number of state and federal agencies are investigating events surrounding the breach.
